Draft, review, negotiate, and interpret a range of commercial agreements while applying a working knowledge of relevant legal subject matters, such as marketing and vendor contracts, master service agreements, consulting agreements, and other corporate contracts (including NDAs, image and content licenses, client SOWs, media insertion orders, talent agreements, software license agreements).
Provide legal advice to internal stakeholders on a variety of topics, including : application and interpretation of laws and regulations (including the attorney-client privilege, data privacy laws, FTC guidelines), contract interpretation, and legal exposure.
Review creative deliverables, social media content, and marketing and consumer / product promotions materials (i.e., social media promotions, print and digital ads, broadcast and radio commercials, packaging and consumer facing materials, websites, promotions, advertising, etc.
to ensure compliance with company / client policy and legal requirements.
Conduct legal and / or business research using primary and secondary resources, provide timely and relevant information, and respond to legal inquiries.
Coordinate and assist with preparation and filing of state corporate documents.
Research, prepare and conduct legal trainings on various topics and directed to various stakeholders.
Conduct trademark clearance searches.
Oversee and coordinate corporate environmental responsibility, supplier diversity, and similar programs.
Responsible for efficient and organized flow of work. Make recommendations regarding standardized and best practices to facilitate processes, procedures and policies, or implementation of new policies and / or procedures.
Interact with and manage outside counsel as needed.
Provide support on other legal matters or policies and issues as needed and serve as an active member of the Legal team.
Keep informed of new laws, regulations, and industry trends affecting the company, and assist with development of policies and training as needed.
Proactively identify and present risk analysis and mitigation strategies to internal stakeholders as well as provide guidance to assure correct interpretation of contractual obligations and compliance with applicable laws and regulations.
Handle special projects as requested.

Education / Training :
Undergraduate degree and Juris Doctor degree with academic achievement from highly regarded institutions.
Licensed to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel
Related Experience :
5+ years related transactional / contract experience and soft intellectual property law (copyright, trademark, rights of publicity / privacy, etc.)
Minimum 6-8 years in law firm and / or in-house setting; a combination of in-house and law firm experience is preferred.

Experience with review of creative output, advertising and promotional materials for compliance with internal policies, client protocols and applicable laws and regulations, such as issues involving trademarks, copyright, right of publicity, privacy, etc.
Computer savvy, including proficiency with Google collaboration tools (docs, sheets, slides), and Microsoft Office Suite (MS Word, Excel, PowerPoint).
Advanced experience with licensing, advertising and marketing legal issues, as well as state and federal regulatory agencies, including the FTC strongly preferred
Other desired skills and abilities :

Understanding of finance fundamentals, and information governance best practices
Familiarity with trademark databases such as Saegis or equivalent; able to conduct searches and prepare reports using on-line resources
