On behalf of one of our clients, an asset manager based near Lausanne, we are seeking a Corporate Governance Officer , who will report to the Chief Compliance Officer.

Responsibilities

  • Provide assistance to the legal & compliance teams
  • Maintain and update the governance framework and monitor compliance with its requirements
  • Coordinate the preparation of the quarterly Board and Executive Management meetings as well as internal governance committees, including assistance in the preparation and review of materials (notice, agenda, presentation packs )
  • Act as secretary and take minutes of meetings
  • Monitor and update policies and procedures in collaboration with business lines
  • Act as the main point of contact and maintain an overall schedule of the various Board meetings of the company’s clients and related parties
  • Provide assistance to the business in the preparation and review of presentations
  • Provide assistance during internal audits and follow up on recommendations made by the internal audit function
  • Qualifications

  • Bachelor’s degree in law or administration or equivalent (paralegal / legal secretary certificate);
  • Minimum 5 years of legal, governance or business experience in an international environment;
  • Fluency in English, advanced level of French desirable;
  • Prior exposure to financial markets;
  • Excellent drafting skills;
  • Detail-oriented with strong organizational skills;
  • Ability to work independently and prioritize;
  • Strong communication and interpersonal skills;
  • Strong Microsoft Office skills;
  • Previous experience working with executives and Board members is a plus
