Senior) Paralegal

We are looking for a Paralegal OR Senior Paralegal in Commercial or L&A)

Mission Statement :

  • Senior Paralegal works closely with the Legal Directors & Legal Counsels in Licensing and Acquisitions and Operations.
  • Senior Paralegal provides support to the Secretary of the Board of Directors (DVP & Associate General Counsel) and to other Abbott Commercial Lawyers.
  • Senior Paralegal acts as liaison between outside counsels, external and internal clients requesting information, quotes, licenses and / or contracts including PoAs and CDAs;
  • Senior Paralegal is involved and provides support to internal projects.
  • Tasks / Responsibilities :

  • Drafting, review and negotiation of low to medium complex contracts / quotes (such as Services Agreements, Distribution Agreements, Licensing and Supply Agreements, CDAs), statements of work, amendments and terminations independently or in collaboration with Legal Directors & Legal Counsels, Licensing and Acquisitions, Commercial and Operations;
  • Negotiate PoAs and CDAs including standard terms and conditions through resolution directly with internal clients and outside partners;
  • complex issues will be escalated to Senior Paralegal or Legal Directors / Legal Counsels, Licensing and Acquisitions and Commercial & Operations;
  • Manage the internal approval process (distribution within relevant business departments);
  • Manage the internal check request process ensuring all necessary documentation is completed; routing of local approvals, etc
  • Prepare Project Update Report including but not limited to ongoing and new projects, contracts, litigation ensuring information is up to date and accurate;
  • update for Legal Directors / Legal Counsel, Licensing and Acquisitions, and distribution of reports to appropriate team members;
  • Assist Secretary of the Board in the preparation and execution of Board of Directors and General Assembly of Shareholders Meetings and internal legal affairs;
  • Prepare Board Resolutions;
  • Supervises the improvement and maintenance of a filing system to ensure the protection of original contracts and backup documentation;
  • Prepare, maintain and supervise a docking / tracking system for all Licensing and Acquisitions projects ensuring information is up to date and accurate for Legal Directors / Legal Counsels, Licensing and Acquisitions, and distribution of reports to appropriate team members
  • Maintains the overview on timelines and deliverables in all assigned projects;
  • Format and re-view documents with attention to grammar and spelling;
  • Respond to request from internal and external auditors;
  • Organize the notarization of documents / contracts;
  • Acting as liaison with local authorities, like Register of Commerce;
  • Maintain compliance with Abbott Corporate policies;
  • Assist Legal Directors / Legal Counsels, Licensing and Acquisitions in due diligence preparation and procedure;
  • Supervises the Contract Management and related searching / administrative tasks.
  • Contract Management and related tasks;
  • Review of consents, declarations, notices and certificates for different legal and regulatory purposes.
  • Support on requests relating to notarization, Embassy legalization and request for extract of Trade Register.
  • Training to operating division on legal matters.
  • Supports Medical Affairs, Marketing, Marketing Insights and Markets Access with daily legal queries.
  • Education :

  • Legal education background,
  • Bachelor Degree in Law and / or paralegal certification.
  • Experience :

  • Minimum 4-6 years of overall work experience as a
  • Lawyer / Legal assistant / Paralegal

  • Pharma In-house experience desirable
  • Experience in Contract Management
  • Project management experience
  • Languages :

  • Fluency in English (verbal and written);
  • Working Knowledge of French and / or German is a plus.
